Adapto warrants for the lifetime of the product to the original purchaser that all products shipped shall conform to the respective descriptions in its catalogs, drawings, quotations and/or invoices.

Adapto makes no implied warranty that its products shall be fit for a particular purpose for which purchaser requires them.

ADAPTO DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS. THERE ARE NO WARRANTIES WHICH EXTEND BEYOND THE DESCRIPTION ON THE FACE HEREOF.

Adapto may require purchaser, as a condition of the warranty, to ship such know non-conforming goods to Adapto's factory prepaid. The repaired or replaced items will be shipped to the purchaser F.O.B. Adapto's factory.

Every Adapto item is thoroughly inspected prior to shipment. Purchaser receiving known non-conforming goods or incorrect number of items must file claim with Adapto within 15 days of receipt of shipment.

Title passes to consignee at time shipment leaves Adapto's factory and carrier is agent of consignee.

Failure to file claim within fifteen (15) days of receipt of shipment waives any and all claims by purchaser against Adapto.

No dealers, distributors, or other sales representatives have any authority, actual or assumed from Adapto to alter, amend or extend any part of this warranty.

EXCLUSIVE REMEDY FOR BREACH OF ADAPTO REMEDY

THE SOLE AND EXCLUSIVE REMEDY FOR BREACH OF THE ADAPTO WARRANTY IS REPAIR OR REPLACEMENT OF THE NON-CONFORMING GOOD WITHOUT CHARGE TO THE PURCHASER, WITH THE ELECTION OF REMEDY TO BE SOLELY WITHIN THE DISCRETION OF ADAPTO.

LIMITATION OF DAMAGES
The maximum damages recoverable against Adapto by any purchaser for any breach of any obligation or duty owed by Adapto to purchaser shall be the purchase price of the non-conforming good, except that remedy for breach of the Adapto warranty is strictly limited to replacement or repair as stated above. Under no circumstances will any consequential, breach of warranty, strict liability or any other theory of liability, arising out of the use, purchase or handling of this product, be recoverable against Adapto Storage Products.

INDEMNIFICATION
Purchaser agrees to indemnify and otherwise hold harmless Adapto from any and all losses or recoveries against Adapto by third parties for injuries sustained on any goods sold by Adapto to purchaser, unless those goods are non-conforming.
